Kitmasters Limited – Terms & Conditions
Effective Date: April 2026
These Terms and Conditions apply to the supply of goods by Kitmasters Limited, company number 16569843, registered in England and Wales.
1. Interpretation
In these Terms and Conditions, references to the Customer, Goods, Order, Specification, and Supplier have their usual legal meanings. The Supplier refers to Kitmasters Limited.
2. Basis of Contract
All orders placed by the Customer are treated as an offer to purchase goods from Kitmasters Limited. Orders are only accepted once confirmed in writing by the Supplier.
These Terms and Conditions apply to all orders and override any other terms unless otherwise agreed in writing.
The Customer is responsible for ensuring that all order details, including quantities, sizes, colours, customisation and delivery information, are accurate.
3. Goods
Goods supplied by Kitmasters Limited may include teamwear, sportswear, apparel, accessories and customised products.
Minor variations in goods may occur due to manufacturing processes, product updates or availability. Kitmasters Limited reserves the right to substitute equivalent products where necessary.
4. Delivery
Any delivery dates provided are estimates only and are not guaranteed.
Delivery is deemed complete when the goods are unloaded at the agreed delivery location.
Kitmasters Limited is not liable for delivery delays caused by couriers, suppliers, manufacturers, customs issues, or other events beyond its reasonable control.
5. Inspection and Acceptance
The Customer must inspect the goods as soon as reasonably possible following delivery.
Any shortages must be reported within 48 hours of delivery.
Any defects or faults must be reported within 10 Business Days of delivery.
If no such notice is given within these timeframes, the goods will be deemed accepted.
6. Quality
Kitmasters Limited warrants that goods supplied will:
- match their description, and
- be free from material defects at the time of delivery.
This warranty does not apply where defects arise from:
- misuse,
- normal wear and tear,
- improper care,
- damage after delivery, or
- customer-approved artwork, designs, specifications or personalisation.
7. Price and Payment
All prices are exclusive of VAT unless otherwise stated.
Unless otherwise agreed in writing, payment terms are 30 days from the date of invoice.
Late payments may incur interest at a rate of 8% above the Bank of England base rate.
8. Custom Goods
Customised, personalised or decorated goods are non-returnable and non-refundable unless they are faulty.
The Customer is responsible for checking and approving all artwork, spelling, names, numbering, sizing and other order details before production begins.
9. Limitation of Liability
Kitmasters Limited’s total liability in relation to any order is limited to the total value of that order.
Kitmasters Limited shall not be liable for any indirect, special or consequential loss, including loss of profit, loss of business or loss of opportunity.
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence,
- fraud or fraudulent misrepresentation, or
- any other liability that cannot legally be excluded.
10. Title and Risk
Risk in the goods passes to the Customer upon delivery.
Title to the goods remains with Kitmasters Limited until full payment has been received in cleared funds.
11. Intellectual Property
All trademarks, logos, branding and other intellectual property rights remain the property of their respective owners.
Where the Customer provides artwork, logos, names or designs, the Customer warrants that they have the right to use them and authorise Kitmasters Limited to reproduce them.
12. Force Majeure
Kitmasters Limited shall not be liable for any failure or delay in performing its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:
- supply chain disruption,
- manufacturing delays,
- transport disruption,
- customs delays,
- industrial action,
- natural events, or
- other unforeseen circumstances.
13. Termination
Kitmasters Limited may terminate a contract immediately where the Customer:
- commits a material breach of these Terms,
- becomes insolvent, or
- fails to make payment when due.
If a contract is terminated, all outstanding sums owed to Kitmasters Limited become immediately payable.
14. Returns
Returns are only accepted with prior approval from Kitmasters Limited and must be made in accordance with the relevant Returns Policy.
Customised goods cannot be returned unless faulty.
15. General
These Terms and Conditions are governed by the laws of England and Wales.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
